CASH CARD HOLDER AGREEMENT

1. Definitions and Parties

By accepting the attached Entropia Universe ATM/Debit card (the "Entropia Universe Cash Card") from MindArk PE AB, (MindArk), and by your use of the Entropia Universe Cash Card, you thereby agree to the terms and conditions of this Agreement. You must be 18 years of age or older to activate your Entropia Universe Cash Card. The delivery to you of the Entropia Universe Cash Card constitutes MindArk's acceptance of this Agreement. You may not have any more than one active card at any time with MindArk. No alterations to this Agreement may be made without MindArk's prior written approval. In this Agreement, the words "you" or "your" refer to you and any other person who gains access to the Entropia Universe Cash Card and to the PIN (as hereinafter defined) and authorizes an advance or funds transfer transaction using the Entropia Universe Cash Card, pursuant to the provisions of Section 10, with respect to PIN confidentiality, and Section 11, with respect to authorized, unauthorized or fraudulent use.

2. Consent to Collection and Use of Personal Data

To receive an Entropia Universe Cash Card, you must have completed the Entropia Universe account registration process by providing MindArk with current, complete and accurate information, including without limitation, such information as your name, address and telephone number (the "Personal Data"), as requested by the Entropia Universe account registration form. You agree that any registration information that you provide MindArk shall be updated whenever the same is changed so that MindArk's records are always current. This procedure is also necessary for verification with any future process regarding your Entropia Universe Cash Card, including but not limited to, your request for deactivation and/or reactivation of the Entropia Universe Cash Card. You agree to comply with any of MindArk's future requests to provide MindArk with any verification and/or identification documents, and hereby give your consent to MindArk to deactivate your Entropia Universe Cash Card temporarily or permanently if you do not comply. By your provision of your personal data to MindArk, you hereby consent and approve the collection of your personal data, its storage and its use for identity verification and for monitoring the use of services.

3. Entropia Universe Cash Card Services

Once you have successfully completed the order process, you will be provided with an Entropia Universe Cash Card and a confidential personal identification number ("PIN") that corresponds to the Entropia Universe Cash Card (all in a manner that complies with the Interac® PIN security rules). The Entropia Universe Cash Card provides you with access to (i) an automated teller machine which displays the Interac® and/or Cirrus® logos (the "ATM") to obtain cash advances, and (ii) an Interac® and/or Maestro® direct payment terminal (the "Debit Card Terminal") to direct transfers of funds to merchants to facilitate the purchase of goods/services of a total dollar amount up to the advance limit authorized for that Entropia Universe Cash Card from time to time (the "Advance Limit"), less applicable service fees. The minimum cash advance is also determined by the dispensing capability of each ATM. The monthly ATM cash Advance Limit applicable to the Entropia Universe Cash Card is set globally by MindArk from time to time. The current total Advance Limit is set to 1000 PED per month. MindArk reserves the right, at MindArk's sole discretion at any time, to change the Advance Limit of your Entropia Universe Cash Card. Any change in the limit shall be posted on Entropia Universe's Internet site located at www.entropiauniverse.com prior to being changed or will be sent to you to the email address that you provided MindArk in your Entropia Universe account registration form.Maestro®, Cirrus®, and Interac® brands are registered trademarks used under license from North York Community Credit Union.

4. Web Site Access

By using your Entropia Universe account logging information - Login and Password ("Internet Password") you will also be able to access certain information concerning the Entropia Universe Cash Card and activities related to the Entropia Universe Cash Card, such as blocking, deregistering or reactivating your Entropia Universe Cash Card, using an Internet connection to access the 'My Section' area of the Entropia Universe website at www.entropiauniverse.com You shall be responsible for any changes made to the information maintained by MindArk in reliance upon Internet communications received by MindArk that are sent by a user using your Internet Password. You will follow the same security precautions for the Internet Password as are required for the PIN, pursuant to the provisions of Section 10.

5. Entropia Universe Cash Card activation

In order to use your Entropia Universe Cash Card you will need to activate it by logging in to the 'My Section' area of the Entropia Universe Internet site and navigating to the Activate Card area. You can not use the Card nor request a withdrawal from your Entropia Universe account to your Entropia Universe Cash Card before you complete the card activation process and accept the Cardholder Agreement.

6. Entropia Universe Cash Card Status

The Entropia Universe Cash Card (pursuant to applicable Interac regulations) remains the property of the financial institution that issued it (the name of which is indicated on the front of the Entropia Universe Cash Card) (the "Financial Institution"). The Entropia Universe Cash Card is held by MindArk pursuant to an agreement with the Financial Institution and/or its affiliates. You are permitted to use the Entropia Universe Cash Card only in accordance with the terms of this Agreement to facilitate the distribution of ATM cash advances to you and transfers of Debit Card Terminal funds to merchants/service providers authorized by you. If for any reason the contractual relationship between MindArk and the Financial Institution, and/or its affiliates, is discontinued and the Entropia Universe Cash Card is deactivated while you still have a positive Advance Limit on the Entropia Universe Cash Card, then MindArk will, at MindArk's sole discretion, do all in MindArk's power to either (i) arrange for a new Entropia Universe Cash Card issued by a different Financial Institution to be purchased by you (subject to identity verification, return of the old Entropia Universe Cash Card, and acceptance of the terms of a new Entropia Universe Cash Card agreement), or (ii) to advance a payment to your PED card for the remaining amount of the Advance Limit, subject to Section 20 of this agreement and to your identity verification and return of the old Entropia Universe Cash Card.

7. Advance Limit Replenishment

Subject to the requirements or limitations set by MindArk and the Advance Limit (Section 3), you may add additional monthly amounts to the Entropia Universe Cash Card through The Entropia Universe Transaction Center, available inside the virtual universe. (the "Advance Limit Replenishment").

8. MindArk's Status

MindArk is not a financial institution and is not in the business of accepting deposits for banking purposes or of conducting other banking operations. MindArk arranges for cash to be dispensed to you through ATMs and to transfer funds to merchants/service providers through Debit Card Terminals when you authorize such advances or transfers of funds through the use of the Entropia Universe Cash Card.
9. Entropia Universe Cash Card Care & Control

You are solely responsible for the care and control of the Entropia Universe Cash Card and the PIN code.

10. PIN Confidentiality

You must never keep a record of the Entropia Universe Cash Card PIN near the Entropia Universe Cash Card. You will maintain the confidentiality of the PIN, and will under no circumstances disclose it to any other person. You must ensure that no one discovers the PIN, including during its use at an ATM or a Debit Card Terminal. You are liable for all transactions incurred using the PIN.

11. Authorized, Unauthorized or Fraudulent Use

You are responsible for the use of the Entropia Universe Cash Card and PIN, and are responsible for the full amount of all activity resulting from the use of the Entropia Universe Cash Card by any person (including any use of the Entropia Universe Cash Card by persons to whom you have made the Entropia Universe Cash Card or PIN available). You are also responsible for the full amount of unauthorized activity resulting from the use of the Entropia Universe Cash Card, including due to fraudulent activity or theft of the Entropia Universe Cash Card that occurs before you deactivate your Entropia Universe Cash Card and provide MindArk with actual notification that the Entropia Universe Cash Card has been lost or stolen, identity verification, and that you were been able to "deactivate" the Entropia Universe Cash Card on the Interac system. At MindArk's sole discretion, MindArk will have the option of relieving you from liability for unauthorized use in a case where you have inadvertently contributed to the unauthorized use, and you co-operate in an investigation or proceeding leading to a finding of liability on the part of a third person.

12. Entropia Universe Cash Card Deactivation or Advance Limit Reductions

MindArk may reduce the Advance Limit of the Entropia Universe Cash Card in the event that you have violated the agreement pursuant to which (i) the Entropia Universe Cash Card was provided to you, or (ii) an Advance Limit Replenishment was authorized for the Entropia Universe Cash Card. MindArk may, at MindArk's sole discretion refuse a request for authorization of any Entropia Universe Cash Card transaction or may deactivate the Entropia Universe Cash Card without notice and may notify third parties of such refusal or deactivation as MindArk determines is necessary. You acknowledge and agree that the Entropia Universe Cash Card shall remain the property of the Financial Institution. If MindArk requests that you return the Entropia Universe Cash Card, you shall do so immediately at your expense.

13. MindArk Record Correction

If MindArk discovers that MindArk has added to the Entropia Universe Cash Card's Advance Limit in error or made any other errors or omissions in connection with the activity related to the Entropia Universe Cash Card, MindArk may reduce or increase the Advance Limit of the Entropia Universe Cash Card to correct such error when it is discovered. If you have used the Entropia Universe Cash Card for advances or transfers of funds using the Advance Limit added to the Entropia Universe Cash Card in error, then you shall repay the amount of the Advance Limit used to MindArk on demand.

14. Lost, Stolen or unusable Entropia Universe Cash Card

If the Entropia Universe Cash Card is lost or stolen, you are solely responsible for immediately deactivation of your Entropia Universe Cash Card via the 'My Section' area of the Entropia Universe Internet site. Any ATM cash advances and Debit Card Terminal funds transfers to merchants/service providers authorized using the Entropia Universe Cash Card before you enter the necessary deactivation order into the system will reduce the remaining available Advance Limit of the Entropia Universe Cash Card and will be solely your responsibility. You acknowledge that such losses are not insured by MindArk. MindArk may issue a replacement Entropia Universe Cash Card to you, upon verification of your identity, your payment of applicable card and service fees, and your new acceptance of the Cardholder Agreement.

15. No Responsibility for Purchased Goods/Services

You acknowledge and agree that neither MindArk or the Financial Institution are responsible for any failure to supply, or lack of suitability, or quality of any goods or services purchased from any merchants or service providers using funds transfers authorized through the Entropia Universe Cash Card. You will settle directly with the merchant or service provider any dispute with respect to any such purchase and any such claim or dispute shall have no effect on the reduction to the Advance Limit carried out when the Debit Card Terminal funds transfer was authorized.

16. Dispute Resolution

MindArk's transaction records shall be conclusive proof of the transactions carried out using the Entropia Universe Cash Card. Subject to Section 13, you will be deemed to have approved all transactions authorized using the Entropia Universe Cash Card.

17. Service Charges

MindArk's current service charges can be found in the Withdrawal section of the Entropia Universe website at www.entropiauniverse.com MindArk's service fees are subject to change from time to time, having immediate effect, with notice to you by the posting of the changes on Entropia Universe's Internet site located at www.entropiauniverse.com The unused Advance Limit left on the Entropia Universe Cash Card will be reduced by the amount of MindArk's current service charges for the services that MindArk arranges through the use of the Entropia Universe Cash Card. In any event, you agree to pay to MindArk's all relevant service charges, including without limitation, all transactions imposed by others in connection with the use of the Entropia Universe Cash Card. A distribution of ATM cash advances to you or Debit Card Terminal funds transfers to merchants/service providers authorized by you will not be authorized by MindArk if the remaining Advance Limit left on the Entropia Universe Cash Card is not sufficient to cover the ATM cash advances or Debit Card Terminal funds transfers and all applicable service fees. If a Debit Card Terminal transaction is reversed by a merchant for any reason (including, for example, a refund for returned goods), the amount of the reversal shall be added back to the Advance Limit, but any service fees previously charged will not be reversed.

18. Entropia Universe Cash Card Conduct

You will not use the Entropia Universe Cash Card for illegal, fraudulent or defamatory purposes or take any steps which could undermine the security or integrity of any Interac®, Cirrus® or Maestro® service.

19. Dormant Entropia Universe Cash Card

You acknowledge and agree that MindArk may deactivate the Entropia Universe Cash Card if no advances or transfers of funds have been made using the Entropia Universe Cash Card for a twelve (12) month period. Upon deactivation of the Entropia Universe Cash Card pursuant to this provision, your ability to cause the distribution of ATM cash advances to you and Debit Card Terminal funds transfers to merchants/service providers authorized by you will be suspended. Upon verification of your identity and your payment of applicable service fees, MindArk may issue a replacement Entropia Universe Cash Card to you (or may reactivate the old Entropia Universe Cash Card if you still have it) with an Advance Limit equal to the limit of the old Entropia Universe Cash Card at the time of its deactivation, less any applicable service charges incurred in the interim.

20. Liability

MindArk will not be liable for any damages, including without limitation, indirect or consequential damages, resulting from any failure, error, malfunction or inaccessibility of any ATM or Debit Card Terminal or any failure, error or delay in providing any ATM cash advances or Debit Card Terminal funds transfers, even if MindArk knew that damage was likely or the damage was a result of MindArk's negligence or the negligence of MindArk's affiliates, employees, agents or representatives. MindArk will not be liable to you for any action or failure to act of a merchant/service provider or refusal by a merchant/service provider to honor the Entropia Universe Cash Card, whether or not such failure or refusal is the result of any error or malfunction of a device used to effect or authorize the use of the Entropia Universe Cash Card for a Debit Card Terminal transaction. MindArk will not be liable to you for any damages caused by action or failure to act of the financial institute and/or its affiliates. MindArk shall not in any way be liable for any accident, act of aggression, theft, loss or damage you may suffer while using the Entropia Universe Cash Card. You are responsible for any errors that result from your incorrect selection of dollar amount or other information required for operation of the services related to the Entropia Universe Cash Card. You agree to pay MindArk for any cost to recover amounts that you owe to MindArk. These costs include legal fees for a solicitor and his own client basis as well as those reasonable counsel fees charged by MindArk's legal and collections department. If you fail to pay MindArk's costs, MindArk may direct funds available under any Advance Limit to the payment of such costs.

21. Communication

Any electronic communication between you and MindArk will take place according to the provisions of this section. The term "electronic communication" means any communication of instructions by telephone, wire or other method of telecommunication or electronic transmission, including a facsimile transmission or personal computer. MindArk will consider any electronic communication apparently received from you or in your name to be duly authorized by you. You authorize MindArk to rely and act on any such communication. If the communication is by facsimile transmission, MindArk will be entitled to act upon any signature purporting to be your signature. If MindArk tries to verify your signature on a facsimile transmission or the validity of any instructions electronically communicated (though MindArk is not obligated to do so) and is unable to do so to MindArk's satisfaction, MindArk may delay in acting on or refuse to act on such instructions. MindArk may, at your request, forward to you copies of any statements, instruments or other documents by facsimile or other electronic transmission to the number or address provided by you from time to time. You hereby consent to and approve of the recording by MindArk of any telephone calls between you and MindArk for security purposes and verification of transaction details. You agree that MindArk's records regarding any electronic communication will be admissible in any legal, administrative or other proceedings as if such records were original written documents. MindArk's records will be conclusive proof of the information contained in such electronic communications. A paper transaction record dispensed mechanically as a result of the use of the Entropia Universe Cash Card constitutes a record of your instructions. Whether such a transaction record is issued or not, you acknowledge and agree that it is your responsibility to verify that the transaction has been properly executed.

22. Amendment to Agreement

MindArk may change the provisions of this Agreement and the service charges from time to time. MindArk will notify you of any changes by (i) sending you notice at the last email address notified by you to MindArk for the purposes of this Agreement; or (ii) posting a notice on MindArk's Internet site located at www.entropiauniverse.com. If MindArk mails a notice, it will be considered to have been received by you one (1) day after MindArk communicated it. If you use the Entropia Universe Cash Card after MindArk sends or posts a notice, you are deemed to have accepted the change as of the effective date set out in the notice.

23. No Assignment

This Agreement is not assignable by you. You may not sell the Entropia Universe Cash Card to others.

24. Discontinuance of Service

If for any reason MindArk ceases to provide cash card services, and as a result the Entropia Universe Cash Card is deactivated while you still have a positive Advance Limit on the Entropia Universe Cash Card, the Advance Limit may be returned to you PED Card, subject to the return of the old Entropia Universe Cash Card. This is subject to the provisions of Section 20 of this agreement.

25. Termination of This Agreement

The Financial Institution and/or MindArk may restrict the use of the Entropia Universe Cash Card, or may terminate this Agreement and your right to use the Entropia Universe Cash Card, at any time without notice. Upon any such termination, you will return the Entropia Universe Cash Card to MindArk. If you no longer wish to use your Entropia Universe Cash Card you must notify MindArk in writing at:

You must return the Entropia Universe Cash Card together with your cancellation notice. Subject to Sections 11, 14 you will be held responsible for all use of your Entropia Universe Cash Card. Subject to Section 17 you will continue to be charged the Cardholder Fees until MindArk receive your Entropia Universe Cash Card.

26. Entire Agreement

This Agreement constitutes the entire agreement between you and MindArk regarding the use of the Entropia Universe Cash Card and there are no other written or verbal agreements or representations. If you no longer wish to use your Entropia Universe Cash Card you must notify MindArk in writing, deactivate you Entropia Universe Cash Card via the 'My Section' area of the Entropia Universe website and return the Cash Card to MindArk. Subject to Sections 11, 14 you will be held responsible for all use of your Entropia Universe Cash Card. Subject to Section 17 you will continue to be charged the Cardholder fees until MindArk receives your Entropia Universe Cash Card.

27. Receipt

You acknowledge the receipt of this Agreement, and acknowledge that this Agreement does not need to be signed by either party to be effective and binding on both parties.
